Service
Refers to the WhatChimp platform, tools, integrations, and services provided by WhatChimp.

User
Any individual, organization, or entity that accesses, registers for, or uses the Service.

Content
Any information, text, media, files, or materials uploaded, transmitted, created, processed, or shared through the Service by the User.

Account Responsibilities

Registration Information
Users must provide accurate, complete, and current information during registration. Misrepresentation may result in suspension or termination.

Account Security
Users are responsible for maintaining confidentiality of their account credentials and accept full responsibility for all activities carried out under their account.

Unauthorized Access
If you suspect unauthorized access, you must notify WhatChimp immediately. WhatChimp may suspend or secure accounts during investigations to protect platform integrity.

Usage Restrictions

Legal Compliance
Users must use the Service in compliance with applicable laws, regulations, and WhatsApp Business and Meta policies.

Prohibited Activities
Users must not:
• Send spam or unsolicited messaging
• Engage in abuse, fraud, harassment, impersonation, or intimidation
• Upload malicious code, malware, or harmful scripts
• Use WhatChimp for illegal or unethical communication

Content Restrictions
Users must not upload or transmit content that is defamatory, obscene, hateful, harmful, or otherwise objectionable.

WhatChimp reserves the right to suspend or terminate accounts involved in policy violations, illegal conduct, or harmful platform behavior

Meta Partner and Compliance Note

WhatChimp is a verified Meta Technology Partner. As part of this partner ecosystem, WhatChimp undergoes periodic program reviews by Meta to assess responsible platform usage, compliance alignment, and integrity of supported messaging functionality. While this ensures responsible operational standards, Meta independently controls WhatsApp enforcement decisions, including bans or restrictions. Such actions remain outside WhatChimp’s control.

Ownership

All platform materials including text, graphics, dashboards, software, design, and technology are owned by WhatChimp or its licensors. Unauthorized copying, redistribution, reverse engineering, or exploitation is prohibited.

License to Use

Users are granted a limited, non-exclusive, non-transferable license to access and use the Service for lawful business purposes, subject to compliance with these Terms.

Trademarks

WhatChimp trademarks, logos, product branding, and service marks are protected. Users may not use these without prior written consent.

Your privacy and data handling are governed by the WhatChimp Privacy Policy. By using the Service, you consent to data collection and use as described in the policy.

User Termination

You may voluntarily terminate your account by contacting WhatChimp support. Upon termination, all granted rights under these Terms immediately cease.

WhatChimp Termination Rights

WhatChimp reserves the right to suspend, restrict, or terminate accounts without prior notice if:
• Terms are violated
• Illegal, abusive, or harmful usage occurs
• Platform integrity or compliance risk is posed

Termination decisions are taken in order to protect security, compliance, and platform trust.

How AI features work today

AI features in WhatChimp, such as AI agents, smart replies, chatbot flows and translations, currently run on a connection to an AI provider (for example OpenAI) that you add to your account with your own API key.

The AI message token allowance shown with each plan, including plans described as unlimited, is the amount of AI usage WhatChimp allows on the platform through your own key. Usage on your key is billed to you directly by your AI provider under its own pricing and terms. WhatChimp does not charge for that usage and does not control the provider’s pricing, limits or availability.

WhatChimp-provided AI tokens

WhatChimp may in future offer AI tokens that it provides itself, so that AI features can be used without your own key. If we do, the allowance for WhatChimp-provided tokens may differ from the allowance that applies with your own key, may vary by plan, and may be offered as an add-on. The allowance that applies to you will be shown on our pricing page and in your account before it applies.

Changes to allowances

WhatChimp may update AI token allowances and the AI providers and models it supports from time to time. Where a change reduces the allowance on an active paid plan, we will tell you in advance through the Service or by email.

To the maximum extent permitted under applicable law, WhatChimp and its affiliates shall not be liable for any indirect, incidental, special, consequential, punitive damages, or loss including but not limited to:
• Loss of revenue, profit, opportunity, or data
• Inability to use the Service
• Unauthorized system access
• Third-party policy enforcement actions, including Meta or WhatsApp bans

Users acknowledge full responsibility for business decisions and messaging practices executed through the platform.

These Terms are governed by the applicable laws of WhatChimp’s registered business jurisdiction, without regard to conflict of law principles.

Modifications

WhatChimp reserves the right to modify these terms and conditions at any time. Users will be notified of any changes through the Service or by email. Continued use of the Service following any changes will constitute acceptance of those changes.
